Robin Wheatley is a member of the Firm's Corporate Transactions and Securities Practice Group, where her practice focuses on a broad range of corporate and securities law matters. She has significant experience in initial public offerings, secondary offerings, shelf offerings, rights offerings, mergers and acquisitions, and the preparation of proxy statements and periodic reports under the federal securities laws. Ms. Wheatley's practice also includes advising clients concerning federal securities law compliance, including the Sarbanes-Oxley Act of 2002 and other corporate governance matters, as well as the representation of clients in connection with stock and asset purchases, private placements of debt and equity securities, registered exchange offers, syndications of joint ventures, stock option plans, and a wide variety of general corporate and contract matters.

Transactions representative of Ms. Wheatley's experience include: $183 million acquisition of a public logistics corporation; corporate restructuring and subsequent $150 million acquisition of transportation company; represented company in initial public offering listed on NASDAQ and Luxembourg Stock Exchange; represented NASDAQ listed company in $50 million acquisition of telecommunications company; represented cable technology company in acquisition of several technology companies ranging from $5 million to $60 million.

  • Representation of buyer in its $183 million acquisition of a public logistics corporation.
  • Representation of a trucking company and its affiliates in a sale of assets valued at over $200 million.
  • Representation of a public company in its adoption of a poison pill.
  • Representation of various manufacturing companies in negotiating and drafting manufacturing, resale and distribution agreements.
  • Representation of international logistics corporation in its $200 million initial public offering and listing on the NASDAQ Stock Market and the Frankfurt Stock Exchange.
  • Representation of publicly-traded company in its $50 million acquisition of a telecommunications company.
  • Representation of a cable technology company in its acquisition of several technology companies, in amounts ranging from $5 million to $60 million.
  • Private placements of interests in partnerships formed for the purpose of oil and gas exploration, in amounts ranging from $350,000 to $2 million.
  • Representation of various large manufacturing companies in connection with the negotiation of various ground and industrial leases.
  • Representation of buyer in connection with the acquisition of parcels of land for development as restaurants totaling over $50 million.
